Roles and Responsibilities of the Company Secretary
The Company Secretary has the following roles and responsibilities:
- To provide preliminary advice to the Board of Directors on relevant laws, regulations, and the Company's Articles of Association, including any significant regulatory changes, to ensure that the Board operates effectively and has sufficient information to make decisions with responsibility, due care, and integrity.
- To prepare and maintain the following corporate records:
- Register of Directors.
- Board of Directors' Meeting Documents: Notice of Board Meetings, Minutes of Board Meetings, and the Company's Annual Report.
- Shareholders' Meeting Documents: Notice of Shareholders' Meetings, Minutes of Shareholders' Meetings, and the Company's Annual Report.
- To organize shareholders' meetings and Board of Directors' meetings in compliance with applicable laws, the Company's Articles of Association, and other relevant regulations.
- To ensure the timely disclosure of information and submission of reports within the scope of responsibility to the relevant regulatory authorities in accordance with applicable laws, rules, and regulations.
- To maintain records of directors' and executives' reports on conflicts of interest and to submit copies of such reports to the Chairman of the Board and the Chairman of the Audit Committee within seven (7) days from the date the Company receives the reports.
- To establish and maintain an appropriate document retention system to ensure that all relevant documents and supporting evidence are complete, accurate, and readily available for verification.
- To communicate with shareholders and ensure that they are informed of their rights as shareholders, as well as the Company's relevant news and information.
- To perform any other duties as prescribed by the Capital Market Supervisory Board or other applicable regulatory authorities.
- To perform duties with responsibility, due care, and integrity, and to comply with applicable laws, the Company's objectives, Articles of Association, resolutions of the Board of Directors, and resolutions of the Shareholders' Meeting.
